Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Nudge application, website at usenudge.ai, and related services (collectively, the “Service”), operated by Nudge (“we,” “us,” or “our”).

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

Description of Service

Nudge is an AI-powered task management and reminder application that helps users stay productive through intelligent, context-aware notifications. The Service includes:

Task creation and management with natural language processing
An AI conversational assistant for productivity guidance and task management
Smart push notifications and reminders timed around your schedule and habits
Optional Google Calendar integration for schedule-aware reminders
Cross-platform access via web and mobile applications

Accounts & Registration

To use the Service, you must create an account using either an email address and password or Google Sign-In. You agree to:

Provide accurate and complete information during registration
Maintain the security of your account credentials and not share them with others
Notify us immediately of any unauthorized access to your account
Be responsible for all activity that occurs under your account

You must be at least 13 years of age to use the Service. By using the Service, you represent that you meet this requirement.

Acceptable Use

Nudge is designed for personal and professional task management and productivity. You agree not to:

Use the Service for any illegal or unauthorized activities

Attempt to access other users' accounts or data

Interfere with, disrupt, or overload the Service or its infrastructure

Create multiple accounts to abuse service limits or circumvent restrictions

Reverse engineer, decompile, or attempt to extract the source code of the Service

Use the AI features to generate harmful, abusive, or illegal content

Use automated scripts, bots, or scrapers to access the Service

Your Content

You retain full ownership of any tasks, notes, conversations, or other content you create in Nudge (“Your Content”). We do not claim any intellectual property rights over Your Content.

By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing and improving the Service. This license ends when you delete Your Content or your account.

Your data is yours. You can export your data or delete your account and all associated content at any time from Settings.

You are solely responsible for the content you create and store in the Service. You agree not to store content that is illegal, infringing, or violates the rights of others.

AI Features

Nudge offers optional AI-powered features including natural language task parsing, a conversational AI assistant, smart scheduling, and a memory system that learns your preferences over time. By enabling AI features, you acknowledge and agree that:

Your task content and conversation messages may be processed by third-party AI providers (Anthropic and OpenAI) to deliver AI functionality
AI responses, suggestions, and scheduling recommendations are provided on an “as-is” basis and may not always be accurate or appropriate
The AI assistant is a productivity tool and should not be relied upon for critical decisions, medical advice, legal advice, or any high-stakes situations
Nudge may store learned observations and preferences (“memories”) from your interactions to improve future responses
You can disable AI features at any time in Settings, which stops all AI processing of your data

Google Calendar Integration

Nudge offers an optional Google Calendar integration. By connecting your Google Calendar, you agree to the following:

Nudge will request read-only access to your Google Calendar events and write access limited to a dedicated “Nudge” calendar using the calendar.app.created scope
We will never modify, move, or delete events on your primary Google Calendar or other calendars
Calendar data may be used by the AI assistant to provide schedule-aware recommendations
You can disconnect your Google Calendar at any time from Settings, which revokes our access and deletes synced calendar data from our servers

Our use of Google Calendar data complies with the Google API Services User Data Policy, including the Limited Use requirements. For full details, see our Privacy Policy.

Intellectual Property

The Service, including its design, features, code, branding, and content (excluding Your Content), is owned by Nudge and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our prior written consent.

The Nudge name, logo, and all related marks are trademarks of Nudge. You may not use these marks without our prior written permission.

Service Availability

We strive to maintain high availability and reliability, but we cannot guarantee 100% uptime. The Service may be temporarily unavailable due to:

Scheduled maintenance and updates
Unplanned outages or technical issues
Third-party service disruptions (hosting, AI providers, notification delivery)
Circumstances beyond our reasonable control

Important: Nudge is a productivity tool, not a safety-critical system. For time-critical or high-stakes reminders (medical, legal, or financial deadlines), we recommend maintaining a backup reminder system.

Termination

You may terminate your account at any time by deleting it through Settings or by contacting us. Upon termination, your data will be permanently deleted in accordance with our data retention policy.

We reserve the right to suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if we are required to do so by law. Where possible, we will provide reasonable notice before suspension or termination and give you an opportunity to export your data.

Limitation of Liability

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

Missed reminders or notification delivery failures
Lost, corrupted, or inaccessible data
Service interruptions, outages, or downtime
Inaccurate or inappropriate AI-generated suggestions or responses
Issues arising from third-party service integrations (Google Calendar, push notifications)
Actions taken or not taken based on information provided by the Service

Indemnification

You agree to indemnify and hold harmless Nudge, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.

Changes to Terms

We may update these Terms from time to time to reflect changes in our Service, practices, or legal requirements. If we make material changes, we will notify you via email or through a prominent notice in the app at least 30 days before the changes take effect.

Continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree with the updated Terms, you should discontinue use of the Service and delete your account.
